## 1. Parties

This Agency Agreement ("Agreement") is entered into as of {{today}} between **{{agency_name}}** ("Agency") and **{{client_name}}** ("Client").

## 7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of this Agreement. This obligation shall survive termination of the Agreement for a period of two (2) years.

## 8. Intellectual Property

Any materials, strategies, or creative works developed by the Agency specifically for the Client under this Agreement shall be the property of the Client upon full payment of all fees owed.

## 9. Termination

Either party may terminate this Agreement upon **30 days' written notice** to the other party. Upon termination, the Agency shall be entitled to compensation for all work completed up to the date of termination.

## 10. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

## 11. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations, or agreements.
